Carmen Energy announces Board and management changes and additions

Carmen Energy Inc. (TSX VENTURE:CEI) announce that it has appointed Mr. Randy Harrison as the Corporation's new Chief Executive Officer. Mr. Harrison will also continue as a director of the Corporation.

In addition the Corporation is pleased to announce that Messrs. James A. Letwin and Robert J. Derkitt have been appointed to the Corporation's Board of Directors. Mr. Archibald Nesbitt has resigned as a director of the Corporation to allow a vacancy on the Board for the new appointments. The Corporation would like to thank Mr. Nesbitt for his service to the Corporation. A brief description of Messrs. Harrison, Letwin and Derkitt is set forth below:

Mr. Randy Harrison, Chief Executive Officer and Director

Mr. Harrison, age 55, has been involved in international and domestic oil and gas exploration and development activities for the past 34 years. He is currently chairman of the Board of Directors of Carmen Energy Inc., President and Chief Executive Officer of Red Mountain Resources a private oil and gas company. He has served as an officer and a board of director of publicly listed and private oil and gas companies. Mr. Harrison holds a Bachelor of Commerce Degree from the University of Calgary and is an active member of the Canadian Association of Petroleum Landman.

Mr. James A. Letwin, Director

Mr. Letwin, is the President and co-owner of JAN Kelley Marketing, a full service marketing agency located in Burlington Ontario. The agency's major clients include Navistar Inc. (International Trucks), ArcelorMitall Dofasco, Petro-Canada's Lubricants Division and Deeley Harley-Davidson Canada.

Mr. Letwin joined JAN Kelley Marketing in 1986, after more than seven successful years in Marketing Brand Management with Ralston Purina, Warner Lambert and SC Johnson. He holds a Bachelor of Science degree and a Master of Business Administration, and has been an award-winning instructor of Marketing and Communication within the MBA program at McMaster University for more than 20 years. He is a past member of the Board of Directors and Board of Governors for the Institute of Communication Agencies (ICA), the Canadian Marketing Association's B2B Council, and is an active community volunteer.

Mr. Robert J. Derkitt, Director

Mr. Derkitt is the President and owner of R. J. Derkitt & Associates, a firm that provides Executive Search services to organizations within the private, public and not-for-profit sectors.

Mr. Derkitt founded R. J. Derkitt & Associates in 1992, prior to which he served in varying consulting and human resource capacities at Price Waterhouse Management Consultants, Rourke Bourbonnais & Associates and Dome Petroleum. He holds a Bachelor of Administration degree and Military Commission specializing in Logistics from the College Militaire Royal de Saint-Jean and the University of Sherbrook. He is a past member of the Board of Directors for Theatre Calgary, the Calgary Olympic Organizing Committee, the Calgary Human Resources Association, the Calgary Elks Lodge and Golf Club as well as the Mavericks Chuck Wagon Racing Society.

In addition, Pursuant to the requirement of the TSX Venture Exchange, Carmen also wishes to announce that its Board of Directors approved its previously announced private placement, which closed on May 24, 2013.
